This Retailer Agreement governs your use of Crowdship as a Retailer. By opening a Crowdship account, syncing or importing products from a Supplier, or selling through the Crowdship platform, you agree to the terms of this Agreement and our Terms of Use. If you are also a Supplier, you are subject to our Supplier Agreement when acting in that role.
Crowdship is a technology platform that enables retailers (“Retailers”) to sell products sourced from third-party suppliers (“Suppliers”) across their websites, apps, and third-party marketplaces (“Shops”). Crowdship is not the seller of record and is not a party to any customer transaction. Suppliers fulfill the order, and Retailers manage customer relationships.
Retailers are responsible for:
You must maintain accurate business details, including billing info and tax documentation. Crowdship may verify your information using third-party services.
To process POs, you must have an active credit card or approved payment method on file. Failed payments may result in order holds or account suspension.
You must list or sync products to your Shop within 14 days of importing or connecting. You are responsible for:
You may sell Crowdship-sourced products on platforms like Amazon, Walmart, Etsy, and TikTok, provided you:
Crowdship routes orders to Suppliers upon checkout. If an order is unfulfilled, you may request cancellation in the portal.
Once fulfilled, refunds require Supplier approval. Retailers are responsible for any refunds processed outside of Crowdship that cannot be recovered from the Supplier.
You are solely responsible for sales tax collection and remittance. Crowdship does not calculate or file taxes on your behalf. You must also pay all applicable PO fees and subscription fees under your selected plan.
You are the importer of record for any orders shipped internationally and are responsible for:
You must maintain a general liability and product liability insurance policy with coverage of at least $1 million per occurrence. Proof may be requested by Crowdship at any time.
You agree to respond to Supplier or Crowdship communications within two (2) business days. Delayed responses may result in automatic cancellations or supplier access restrictions.
You may not bypass Crowdship to work directly with a connected Supplier on products previously listed through the platform. Violations will result in removal and enforcement of bypass fees.

You may list and sell certain regulated products through Crowdship, but are responsible for ensuring full legal compliance for your Shop, including:
a. Cannabis and Cannabinoid Products (e.g., CBD, Delta-8, THCa):
b. Vaporizers and Vape Accessories:
c. Supplements, Nutraceuticals, or Functional Foods:
d. Firearms, Ammunition, and Parts:
You may not use Crowdship to sell or ship to embargoed countries or sanctioned individuals. You are responsible for screening orders for compliance with U.S. trade laws.
You agree to indemnify Crowdship and its Suppliers against any loss or claim resulting from:
Crowdship may suspend or terminate your access at any time for:
This Agreement does not create any agency, partnership, or employment relationship between you and Crowdship.
In the event of a dispute, both parties agree to make reasonable efforts to resolve it within 60 days. Either party may seek injunctive relief if necessary.
You may not list or sell:
Crowdship may remove listings, restrict account and/or marketplace access, or notify regulatory authorities for violations of this policy.
