Crowdship Supplier Agreement

This Supplier Agreement governs your use of the Crowdship platform as a Supplier. By listing products, connecting with Retailers, or accepting orders through Crowdship, you agree to the terms of this Agreement and our Terms of Use. If you also act as a Retailer, you are bound by our Retailer Agreement in that role.

1. Roles and Responsibilities

Crowdship provides technology that allows Suppliers to offer physical goods ("Products") to third-party retailers ("Retailers") through their own e-commerce websites, marketplaces, or apps ("Shops"). Retailers are the seller of record and manage the customer relationship. Suppliers are responsible for fulfillment and product compliance.

Crowdship is not a party to any transaction and assumes no liability for product performance, shipping delays, or customer disputes.

2. Supplier Business and Payment Information

3. Service Level Agreements (SLAs)

Unless otherwise agreed in writing, Suppliers must:

a. Communications: Respond to messages from Crowdship or Retailers within 2 business days.

b. Fulfillment: Ship all orders within  business days, or within the stated lead time in the Product Data.

c. Tracking: Provide shipment tracking for all orders.

d. Returns: If returns are accepted, Supplier must disclose policies and fees clearly. Approved returns must be processed within 5 business days of receipt.

e. Lost Shipments: If Retailer verifies a lost order, Supplier must send a replacement within 5 business days.

f. Quality Guarantee: If Retailer furnishes proof that an item arrived broken, damaged, or otherwise in less than the expected condition as interpreted from the suppliers product information, Supplier must send a replacement within 5 business days.

4. Insurance

You must carry general liability and product liability insurance with coverage of at least $1M per occurrence and $2M aggregate. Crowdship may request certificates at any time.

5. Non-Circumvention

You may not bypass Crowdship to work directly with Retailers you were introduced to through the platform, unless Crowdship has approved a custom agreement or off-platform relationship.

You must notify Crowdship within 5 days of any consumer request or data deletion request and within 48 hours of any Security Incident involving Customer Data.

7. Product Requirements

a. Product Data Accuracy: You must ensure your product data (titles, images, weights, disclaimers, compliance info, etc.) is accurate and updated regularly.

b. Legal Compliance: Products must comply with all applicable U.S. federal and state laws, including labeling and safety disclosures (e.g., California Prop 65). You are responsible for:

c. Prohibited Products: See Exhibit A below. You may not list any item that violates these rules, even if it is legal in your jurisdiction.

8. Order Fulfillment and Shipping

You agree to:

If an order cannot be fulfilled, you must cancel it via Crowdship and notify the Retailer.

9. Damaged, Defective, or Recalled Products

You are responsible for replacing or refunding:

You must notify Crowdship of any known safety risks or public/private recall affecting your Products.

You may not use the platform to fulfill orders in embargoed countries or to individuals on OFAC, BIS, or Denied Persons lists.

You agree to indemnify Crowdship and its Retailers for any claims, liabilities, or damages arising from:

12. Dispute Resolution

You agree to attempt informal resolution of any dispute for at least 60 days. Crowdship reserves the right to suspend or remove your listings if ongoing disputes pose risk to Retailers or end customers.

13. No Joint Venture

Nothing in this Agreement creates a partnership, agency, or employment relationship between you and Crowdship.

Exhibit A – Prohibited Products Policy

You may not list or fulfill the following through Crowdship:

Crowdship may remove any product it deems high-risk, non-compliant, or reputationally damaging, with or without notice.
